Most business clients do business under the umbrella of personal protection. If you keep your corporate books and records in compliance with Illinois law, then you also keep that shield of protection.
The corporate formalities consist of paying annual fees to the Illinois Secretary of State, maintaining your Minute Book, holding annual meetings of the Shareholders and Board of Directors, and placing minutes of each meeting in the Corporate Minute Book.
If you fail with compliance in any of the above, you may lose your shield of protection from personal liability. You should never, ever sign any document with only your own personal name. You must sign in a corporate manner, or you can be sued personally. We counsel clients in the above matters.
